GENEVA (AFP) The United States came in for criticism Wednesday from trade and diplomatic officials after extensive ministerial talks failed to break an impasse on framing a global tariff-busting pact.

Whether it is trade in commodities such as cotton or bananas or manufactured goods like cars and computers, the world’s largest economy was singled out for holding up the Doha Round of negotiations to free up global commerce.

Although President Barack Obama was among leaders of the Group of 20 emerging and developed nations who endorsed a decision to seal the Doha Round by 2010, Washington still lacks political will to see the deal through, several international trade officials suggested.

The Convenience of Home Schooling

Homeschooling is an alternative form of education that is fast growing. There are approximately two million people in the country today that undergo homeschooling. It completely fills up the role of institutional learning. In homeschooling, both parents and their children determine the extent of their learning.

Everybody can avail of homeschooling. All fifty states legally approve the practice of homeschooling. What differs from state to state are the laws governing the homeschooling program. Homeschooling can be very convenient for single parents who run a home business. They can have their kids to help them as well. Children of disabled parents can be tapped to take on a medical profession or one that involves social services.

Homeschooling should not be confused with home study or other forms of home-based education. In the latter, the parents and children do not have a say on the content of the curriculum. Examples of these are independent school programs. Home study is usually offered to those kids who for some valid reason could not attend school, say injury.

There is not much requirement for one to administer homeschooling. Some states do not even require a highschool diploma from the parents. There is however, one state which requires some training program for homeschooling before allowing a person to conduct it at home.

Homeschooling is preferred over institutional learning for various reasons. Some find the school curriculum questionable. Some parents think that schools cannot provide enough training to optimize the skills and talents of their children. Some are simply concerned with the issues regarding the safety and security within their local schools. Some children just do not fit in school so parents resort to homeschooling for their kids.

Selling Your Business Without Being Sued

As a small business owner, your company most likely represents a significant portion of your net worth. That’s why it’s crucial not to let litigation wash it away when the time comes to convert your years of hard work into cash.

Selling a business involves substantial amounts of money and a wide range of issues including warranties and representations, disclosures and contractual obligations. Consequently, there are many opportunities for litigation to arise. Not only is litigation highly unpleasant and disruptive to your lifestyle, it is also very, very expensive – even if you win.

But other than wishing, hoping and praying, what’s a small business owner to do? Rather than complaining try something more constructive. Here are eight strategies to follow when selling your business that can help minimize litigation issues.

1. Honesty is the best insurance policy. Tell the truth about your business. Do not attempt to hide any problems or issues that, if left undisclosed, might be the basis for future litigation. Rest assured that the cost of disclosure in a transaction is very small when compared to the cost of litigation for non-disclosure.

2. Develop a confidential business review. This is a high-quality and comprehensive document that describes your business and its background. Within this document, clearly disclose any negative issues that are involved in the business. Not only will disclosure reduce litigation risks, it will also add to your credibility with potential buyers and save you time by eliminating those who are unwilling to accept the realities of your business.

3. Accurately communicate historical financial results. Do so in a manner that demonstrates the earning power of your business. Ideally, this information will be presented in a summarized format that recasts your discretionary and certain other expenses to show EBITDA (Earnings Before Interest, Taxes, Depreciation and Amortization).

4. Require your buyer to go through extensive due diligence. Due diligence is the process by which a buyer conducts an independent investigation of the information you have provided about your business. The written due diligence materials should be incorporated into the final legal documents to minimize your litigation risks.

5. Assemble a strong team of experienced professionals. Your accountant and your attorney will play key roles, and their expertise will reduce litigation risks. You may also benefit from the assistance of an experienced intermediary, broker, or merger and acquisition firm that specializes in selling privately owned businesses. However, before hiring an intermediary, make certain that they do not charge up-front fees and that they have a litigation-free track record.

6. Ensure that closing documents are thorough and complete. Not only must these documents contain appropriate legal language, they also must anticipate and address potential disagreements that may occur after closing – disagreements on issues like equipment or inventory values and condition, collection of accounts receivable and more. These issues are easily addressed during the courtship phase with a buyer, but they can cause major problems after the transaction is closed and the honeymoon phase is over.

7. Be careful with employment, transition and consulting agreements. If you enter into longer term agreements with your buyer, make sure the terms are entirely consistent with your retirement plans. Otherwise you run the risk of being unwilling or unable to perform your obligations, and that can lead to litigation.

8. Maintain confidentiality throughout the entire selling process. Although confidentiality will not directly protect you from litigation, it will help minimize the risk of losing valuable employees, customers and vendors during the process

Just because a company advertises that they have all natural skincare products, read the label before you buy. Many of these creams and lotions are not exactly what they are claimed to be. You always want check out the ingredients to be sure.

That is one of the reasons that I always tell people that they should never buy products sold by way of infomercial, home shopping channel, or catalogues. You simply cannot get enough information from these sources to be able to truly determine whether they are selling legitimate natural skincare products or not.

The companies that offer you natural skincare products by any of these media are simply trying to move their wares. They are liable to tell you just about anything in order to interest you enough to buy. They may actually be on the level, but the bottom line is there is no way to tell without being able to see the ingredients for yourself.

The danger here is that many marketers of natural skincare products will focus on the ingredients only to the point where it is still to their advantage. For example, I saw a product recently that boasted tomato juice and avocado as two of their main ingredients. Those are natural ingredients true, but there were other ingredients that weren’t discussed that turned out to be not so natural.

It turns out that the preservative agents that they were using in these “natural skincare products” were synthetics. Parabens were used as the primary agent for this job. So your tomato and avocado were being protected by a family of chemicals that are known to increase your risk of contracting cancer.

It was later discovered that the window had in fact been smashed weeks previously, and on speaking to the woman she admitted to making a false report so she could claim money for the items from her insurance company.

Detective Inspector Tim Hunt said: “Making a false report can have serious consequences, and not just because of the amount of time it wastes by taking officers away from dealing with genuine inquiries.

“Had the woman pursued her claim and we then proved her report to be false, she would have been committing an offence of fraud by false representation which carries up to 10 years in prison.”

SEOUL (AFP) Iranian Nobel peace prizewinner Shirin Ebadi called Tuesday for the release of five Britons seized in Gulf waters, saying they were arrested without warning.

“I believe the Iranian government has arrested them without warnings. They must be released as soon as possible,” she told reporters in Seoul.

The five were sailing from Bahrain to the start of a race in Dubai when their yacht was stopped last Wednesday in the Gulf, the British Foreign Office said.
